The discussions followed the FA decision to remove the England team captaincy from John Terry after the Chelsea defender's trial for allegedly racially abusing Queens Park Rangers' defender Anton Ferdinand was adjourned until July.
Terry, who would have led England at this year's European Championship, denies the charge.
Capello, 65, expressed his unhappiness with the decision in an Italian television interview on Sunday.
"I thought it was right that Terry should keep the captain's armband," he said.
An FA statement said Capello's resignation had been accepted and he would leave his post immediately after just over four years in charge.
"I would like to stress that during today's meeting and throughout his time as England manager, Fabio has conducted himself in an extremely professional manner," Bernstein said in a statement.
"We have accepted Fabio's resignation, agreeing this is the right decision. We would like to thank Fabio for his work with the England team and wish him every success in the future."
Capello quits as England manager
A news conference with Bernstein has been scheduled for Wembley stadium at 12:00 on Thursday.
Capello took over as England manager in January 2008 after England's failure to qualify for Euro 2008 under Steve McClaren.
His first match, a friendly against Switzerland exactly four years ago this week, ended in a 2-1 victory and in he was in charge for 42 matches, winning 28, drawing eight and losing only six.
Among those six, though, was a crushing 4-1 loss to Germany in the World Cup finals in South Africa 18 months ago. That was England's worst defeat in the finals and led to a chorus of calls for his dismissal.
He kept his job and guided England unbeaten through the qualifiers for the European Championship in Poland and Ukraine.
Capello's tenure as England boss was a roller-coaster ride with several highs and lows. Apart from the World Cup, the lowest points both concerned Terry.
Terry was relieved of the England captain's armband after allegations that he had an extra-marital affair with the former girlfriend of his former Chelsea team mate Wayne Bridge.
Capello, who was on a salary of £6 million a year, re-instated Terry last March. However, the latest incident proved one too many for the Italian and led directly to his resignation.
After winning 32 caps for his country, Capello enjoyed a glittering club management career.
He won four Serie A titles with Milan and one with AS Roma plus two La Liga titles with Real Madrid. He also took Juventus to two consecutive titles which were later stripped because of a match-fixing scandal.

Hmmmm wet pu.ssey
I like p.ussey alot
hello
does no one think that capello quit as that is what he wanted,he know he would have done the same in ukraine and poland as he did in south africa, and would not look good on his cv,i think england will be stronger in the euros without him
The media always get their man! Sven, Keegan, Hoddle, MacClaren, Revie, Taylor. 6 months they'll love the next one, then crucify him. Anything to sell papers.
Do the same terry your a disgrace
It was long coming, I mean I dont know what was this genious doing there all this time.
Capello did the right thing to resign. The FA had undermined him totally by publicly stripping Terry of the armband. That is the job of the Manager. The FA should have met up with Capello and discussed it and then taken unanimous action.
Good on ya Capello, they did insult you and make your position untenable. Sue them for constructive dismissal. And Harry is not the man for the job either.

Get Ranieri please, keep him away from Inter, thanks.
I have had a thought who could be the next England manager, Mr.Fred Goodwin has nothing to do at the moment, I don't know if he is into football but I am sure he could do with the 6 million a year salary. One thing worries me though, would he want a huge bonus for every goal scored?
stabbed in back by the peckham possee
I give kudos to Fabio Capello for being bold enough to call it quit with the English National team. This latest action by Capello has shown that he is a principled man who can't tolerate nonsense especially coming from FA Chairman, David Bernstein. Simply, what Bernstein and his FA members did by stripping Terry of his captaincy even when his case was still in court was to undermine Capello's authority. No sensible and principled man can accept that misnomer. Whether it was a correct decision or not is a matter of conjecture. What remains clear is that Bernstein and his FA members are hell bent on truncating all the successes recorded by the Three Lions courtesy of the wise guidance by Capello. Let Bernstein and his chorts go on and find a better replacement who will be dictated by them. Capello is certainly not the man to be played with not even with his fat pay.
The FA have got EXACTLY what they wanted by forcing Capello to resign by backing him into a corner. He had the support of the players and was becoming too powerful for the FA.
Fabio Capello was right to resign on principle. If John Terry had not been arrested then the F.A could have disciplined him but once it was a court matter then he is innocent until proved guilty.
It would seem that you only have to accuse someone for then to be proved guilty by public approval. Every day the Media conduct their own trials by accusing someone they dislike often ,because they won’t give an interview, who are subsequently convicted by the mud that sticks. For example the yellow star of the german jews during the war. It was wrong then and is wrong now. I write as an Anglo-Saxon catholic.
the boss leaves. but the"VIRUS" is left alive! is this FA decision? how much will it cost me? NO MORE JOKE!!!!
Gie my Dad the Job !!
Get rid of Chairman Bernstein as well. As chairman he should have instructed the board of the FA that they were out of order taking the decision to remove Terry without first consulting with the manager, after all it was the manager who appointed Terry as captain. A chairmans job is to direct and control a meeting and is often an unpopular post, he appears to me to be "one of the boys". Hitler behaved like this in Nazi Germany, what has happened to English fair play and innocent until proved guilty. It has become a victim of the rubbish media in this country.
PAUL PARKER for new England Boss!!!!!!!!!!!!!!!!!!
Sack the whole English FA board of management, Bring in people that know the game and love the game.
board of 12.
3 ex club chairmen
3 ex club managers
3 ex players
3 ex referees
This I think would be a fair management board and once and for all get rid of all the dead wood. stop all the crazy decisions. Paying ridiculous high wages to managers and not letting them manage by taking the important decisions away from them. good luck to Capello in the future and even bigger luck required for the new manager if he has to accept the rubbish dished out by the FA.
