Former Watford chief executive Mark Ashton has dropped his High Court claim against the Hornets' parent company.
Ashton was seeking £300,000 from Watford Leisure Plc following his resignation last December, having issued legal proceedings for breach of contract in May.
The court proceedings have now been withdrawn, with Watford revealing Ashton will make a "significant contribution" to their legal costs.
Ashton's successor, Julian Winter, said: "Throughout, the club has maintained that Mr Ashton's claims were without merit.
"I'm pleased that Mr Ashton has withdrawn his claim and that he will be reimbursing the club for some of the costs incurred."
