The 27-year-old, who passed a medical in Turin on Tuesday, has signed a four-year contract with the Bianconeri and will be unveiled later on Friday afternoon.
Midfielder Antonio Nocerino moves in the opposite direction, with Palermo also receiving 15.3million euros.
Amauri scored 15 goals for Palermo this past season. He moved from Chievo in the summer of 2006.
Nocerino has been capped once for Italy after representing his company at all youth levels.
Palermo also confirmed on Friday the signing of midfielder Fabio Liverani.
Liverani left Fiorentina on Tuesday after failing to agree terms on a new contract, and has now signed a three-year deal with the Sicilian outfit.
The 32-year-old was instrumental in securing Champions League football for the Viola next season but left the club after being offered just a one-year contract extension.
